Welcome to SplitHere ("SplitHere", "App", "we", "us", or "our"). SplitHere is an application designed to help users record, organize, calculate, and manage shared expenses among friends, family members, colleagues, roommates, travel groups, and other groups.

By downloading, accessing, registering for, or using SplitHere, you acknowledge that you have read, understood, and agreed to these Terms & Conditions ("Terms"). If you do not agree with any part of these Terms, please do not use the App.

1. About SplitHere

SplitHere provides tools that help users:

• Create and manage expense groups.
• Record shared expenses.
• Specify who paid for an expense.
• Allocate expenses among multiple participants.
• Calculate individual shares and balances.
• Track amounts owed between group members.
• Record settlements or payments made between users.
• View expense history and group balances.
• Share or communicate expense information with other group members.

SplitHere is intended primarily as an expense-management and calculation tool. Unless expressly stated otherwise, SplitHere does not itself create, enforce, collect, or guarantee any debt between users.

2. Eligibility

You must have the legal capacity to enter into these Terms in accordance with the laws applicable to you.

By using SplitHere, you confirm that:

• The information provided by you is accurate to the best of your knowledge.
• You will use the App only for lawful purposes.
• You will comply with all applicable laws and regulations.
• You will not use the App if your use of the App is prohibited by applicable law.

If SplitHere has established a minimum age requirement, users below that age may use the App only where permitted by applicable law and, where required, with appropriate parental or guardian consent.

3. User Account

Certain features of SplitHere may require you to create an account.

You are responsible for:

• Providing accurate and current information.
• Maintaining the confidentiality of your login credentials.
• Keeping your device and account secure.
• Not sharing your account credentials with unauthorized persons.
• Informing us promptly if you believe your account has been accessed without authorization.

You are responsible for activities carried out through your account unless such activity resulted from circumstances for which you are not reasonably responsible.

4. Expense Information and Accuracy

SplitHere calculates expense shares based on information entered by users.

You acknowledge that:

• Users are responsible for entering correct expense amounts and participant information.
• SplitHere relies on the information supplied by users.
• Calculations may be incorrect if the underlying information is incorrect, incomplete, or entered incorrectly.
• Users should verify expense amounts, balances, participants, and settlements before relying upon them.
• SplitHere does not independently verify whether an expense actually occurred.
• SplitHere does not guarantee that the balance displayed between users represents a legally enforceable debt.

For this reason, you should review all expense information before making or requesting any payment.

5. Informal Records and User-to-User Debts

SplitHere may display amounts that indicate that one user owes money to another user.

These amounts are based on information entered by users and calculations performed by the App.

Unless expressly agreed otherwise between the relevant users, SplitHere's records are intended as informal expense records and should not automatically be considered legally binding contracts, acknowledgements of debt, or payment obligations created by SplitHere.

Any actual obligation between users exists independently of SplitHere.

SplitHere is not responsible for resolving disagreements regarding:

• Whether an expense occurred.
• Who should pay an expense.
• Whether an expense amount is correct.
• Whether a person owes another person money.
• Whether a payment was actually made.
• Whether a user has fulfilled an obligation.

Such disputes should be resolved directly between the relevant users.

6. Payments and Settlements

SplitHere may allow users to record that a payment or settlement has been made.

Unless SplitHere expressly provides payment-processing functionality, recording a payment in the App does not itself transfer money between users.

Where SplitHere provides links, integrations, or functionality involving third-party payment providers:

• The actual payment may be processed by the relevant third-party provider.
• Users are subject to the third party's terms and policies.
• SplitHere does not control the third-party payment service.
• SplitHere does not guarantee successful, timely, or reversible payment transactions.
• SplitHere is not responsible for disputes arising from transactions conducted through third-party payment services, except where liability cannot lawfully be excluded.

Users should independently verify the status of payments and settlements.

7. User-Generated Content

SplitHere may allow users to submit or upload information such as:

• Expense descriptions.
• Notes and comments.
• Group names.
• Profile information.
• Images or receipts.
• Other information associated with expenses or groups.

You remain responsible for the content you submit.

You agree that you will not upload, post, or transmit content that:

• Is unlawful, fraudulent, misleading, or deceptive.
• Violates another person's rights.
• Contains information that you do not have permission to share.
• Harasses, threatens, or abuses another person.
• Contains malicious software or harmful code.
• Infringes intellectual property rights.
• Is intended to facilitate illegal activity.
• Attempts to impersonate another person.
• Violates these Terms or applicable law.

We may remove or restrict content that we reasonably believe violates these Terms or creates legal, security, or safety concerns.

8. Privacy

Your use of SplitHere is also governed by our Privacy Policy.

The Privacy Policy explains how we collect, use, store, protect, and disclose information associated with your use of the App.

9. Acceptable Use

You agree not to use SplitHere to:

• Commit or facilitate fraud.
• Conduct unlawful financial activities.
• Harass or threaten other users.
• Enter deliberately false expense information for harmful purposes.
• Attempt to gain unauthorized access to another user's account.
• Interfere with the operation or security of the App.
• Introduce viruses, malware, or other harmful code.
• Reverse engineer, decompile, or attempt to extract source code from the App except where permitted by applicable law.
• Scrape, copy, reproduce, or systematically collect App data without permission.
• Circumvent security or access restrictions.
• Use automated systems to abuse or overload the App.
• Use the App for any unlawful or prohibited purpose.

We reserve the right to investigate suspected violations and take appropriate action.

10. Intellectual Property

SplitHere and its associated software, designs, interfaces, logos, trademarks, graphics, text, features, and other materials are owned by or licensed to SplitHere and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not:

• Copy the App or its content.
• Modify or create derivative works.
• Sell, distribute, or commercially exploit the App without authorization.
• Reproduce the SplitHere branding or trademarks without permission.
• Attempt to obtain the source code of the App.

Your use of SplitHere does not transfer ownership of any SplitHere intellectual property to you.

11. Third-Party Services

SplitHere may use or integrate with third-party services, including authentication providers, cloud services, analytics providers, communication services, or payment providers.

Third-party services may have their own terms, privacy policies, and conditions.

SplitHere is not responsible for the availability, accuracy, security, or performance of third-party services to the extent permitted by applicable law.

12. App Availability

We will make reasonable efforts to keep SplitHere available and functional. However, we do not guarantee that:

• The App will always be available.
• The App will operate without interruptions.
• The App will be completely error-free.
• All features will always be available.
• Data will never be lost or corrupted.
• The App will work on every device or operating-system version.

We may modify, suspend, discontinue, or restrict certain features of SplitHere when reasonably necessary for maintenance, security, technical reasons, business reasons, or compliance with law.

13. Disclaimer

SplitHere is provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law.

We do not guarantee that the App or its calculations will always be accurate, complete, uninterrupted, or suitable for every particular purpose.

You use SplitHere at your own discretion and risk.

SplitHere should not be considered a substitute for professional financial, legal, tax, or accounting advice.

14. Financial Responsibility

SplitHere is an expense-management tool and should not be considered a bank, lender, financial institution, debt collection agency, or financial advisor unless expressly stated otherwise.

SplitHere does not guarantee that a person shown as owing money will actually pay that amount.

You are solely responsible for determining whether and how you settle expenses with other users.

15. Limitation of Liability

To the maximum extent permitted by applicable law, SplitHere and its owners, employees, affiliates, service providers, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or similar damages arising from or related to your use of the App.

This may include, where legally permitted:

• Loss of data.
• Loss of profits.
• Financial losses.
• Business interruption.
• Loss arising from inaccurate information entered by users.
• Disputes between users.
• Failure of a third-party payment service.
• Unauthorized access resulting from circumstances beyond our reasonable control.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

16. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless SplitHere, its owners, employees, affiliates, contractors, and representatives from claims, damages, liabilities, losses, and reasonable expenses arising from:

• Your violation of these Terms.
• Your misuse of the App.
• Your violation of applicable law.
• Content or information submitted by you.
• Your dispute with another user.
• Your violation of another person's rights.

17. Account Suspension or Termination

We may suspend or terminate your access to SplitHere if:

• You violate these Terms.
• You engage in fraudulent or abusive activity.
• Your use creates a security or legal risk.
• Required by applicable law or legal process.
• We discontinue the relevant service or App.

You may stop using SplitHere at any time.

Following termination, provisions that by their nature should continue to apply may remain effective, including provisions concerning intellectual property, disclaimers, liability, indemnification, and dispute resolution.

18. Data After Account Termination

Following account deletion or termination, information associated with your account may be deleted, retained, anonymized, or preserved where reasonably necessary for legitimate business purposes, security, legal compliance, dispute resolution, fraud prevention, or other purposes permitted by applicable law.

19. Changes to These Terms

We may update these Terms from time to time.

When material changes are made, we may provide notice through the App, website, email, or other reasonable means where appropriate.

The updated Terms will become effective from the date specified in the updated Terms.

Your continued use of SplitHere after the effective date of updated Terms may constitute acceptance of the revised Terms, to the extent permitted by applicable law.

20. Governing Law and Dispute Resolution

These Terms shall be governed by the applicable laws of India, unless otherwise required by applicable law.

Any dispute arising out of or relating to these Terms or your use of SplitHere shall be subject to the jurisdiction of the courts located in Bangalore, Karnataka, India, unless applicable law requires otherwise.

21. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be modified or limited to the minimum extent necessary, and the remaining provisions will continue in effect.

22. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.

23. Entire Agreement

These Terms, together with the Privacy Policy and any other policies expressly incorporated into them, constitute the agreement between you and SplitHere concerning your use of the App.
